The FSA’s listing regime has again undergone substantive change in recent months with the January implementation of Companies Act 2006 (bringing into force the Transparency Directive), the corresponding changes to the Listing Rules and the creation of the new Transparency and Disclosure Rules. 

This course has been specially developed as an introduction for company secretaries and other professionals who need to engage and comply with the Rules for a wide range of company transactions – from obtaining a listing through to continuing obligations, directors’ dealings and acquisitions and disposals. It aims to give delegates practical advice and guidance, and the information they need to navigate the Rules effectively and apply them in a range of business situations.

Course Content

Introduction to the FSA and the London Stock Exchange
FSMA 2000, as amended. The key players. Timings, procedures, methods and guidance on consulting and informing the FSA and LSE. 
The Rules: an overview
An overview of the structure and content of the Listing, Transparency and Disclosure and Prospectus Rules. 
Obtaining a Listing for securities: the role of the company secretary and professional advisors
Project managing a flotation, methods of issuing shares and the documents required
The company secretary and the Rules
Continuing obligations, financial information and company announcement
Directors’ dealings and responsibilities
The Model Code. 
Corporate Transactions
Acquisitions, disposals, transactions with related parties, class tests and shareholder circulars.
Inside information
Managing insider lists, prohibiting dealings in securities and when to make announcements. 
Growing the business
Using the market to grow the business, rights issues, further funding: checklists, documents and announcements required. 
Corporate governance
A guide to the Combined Code and other relevant rules and regulations.
